Software Training - INFOWEB TECHNOLOGY

1.1 By accessing or using the services, website, or products offered by Infoweb Technology (“Company,” “we,” “us,” or “our”), you (“Client,” “User,” or “you”) agree to be bound by these Terms and Conditions.
1.2 If you do not agree to these Terms, you must not use our services.
2.1 Infoweb Technology provides services including but not limited to web development, software solutions, digital marketing, SEO, and IT consultancy.
2.2 The scope, timeline, and deliverables for services will be defined in a separate Service Agreement or Proposal shared with the Client.
2.3 The Company reserves the right to refuse service to any individual or entity without obligation to provide a reason.
3.1 The Client agrees to provide accurate information, content, and approvals required for the execution of services.
3.2 The Client is responsible for maintaining the confidentiality of login credentials and other sensitive data shared.
3.3 Delays in providing required information may extend project deadlines.
4.1 Fees for services shall be outlined in the quotation, proposal, or invoice shared with the Client.
4.2 Payments must be made as per the agreed schedule (e.g., advance, milestone-based, or upon completion).
4.3 Late payments may attract interest charges or suspension of services.
4.4 All payments are non-refundable unless otherwise stated in writing.
5.1 All intellectual property created by Infoweb Technology during the course of a project (designs, software, code, content, etc.) shall remain the property of the Company until full payment is received.
5.2 Upon final payment, ownership of deliverables shall be transferred to the Client unless otherwise specified.
5.3 Infoweb Technology reserves the right to display completed projects in its portfolio for marketing purposes.
6.1 Both parties agree to maintain confidentiality of all proprietary and sensitive information shared during the course of business.
6.2 Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
7.1 Infoweb Technology shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use our services.
7.2 The Company does not guarantee uninterrupted or error-free operation of websites, applications, or third-party integrations.
8.1 Except as expressly stated, Infoweb Technology makes no warranties, express or implied, regarding services or deliverables.
8.2 The Client acknowledges that third-party services (e.g., hosting providers, plugins, APIs) are subject to their own terms, and the Company is not responsible for their performance.
9.1 Either party may terminate the agreement with written notice if the other party breaches these Terms.
9.2 Upon termination, the Client shall pay for all services rendered up to the termination date.
10.1 These Terms shall be governed by and construed in accordance with the laws of India.
10.2 Any disputes arising shall be subject to the exclusive jurisdiction of the courts in [Bhubaneswar, Odisha].
11.1 Infoweb Technology reserves the right to update or modify these Terms at any time without prior notice.
11.2 Continued use of services after changes constitutes acceptance of the updated Terms.

5.1 Ownership of Deliverables All intellectual property (including but not limited to source code, designs, graphics, content, strategies, reports, documentation, and digital assets) created by Infoweb Technology during the course of providing services shall remain the property of the Company until full payment has been received from the Client. Upon clearance of all dues, ownership of final deliverables will transfer to the Client, unless otherwise agreed in writing.
5.2 Company’s Pre-Existing IP & Tools Any pre-existing tools, frameworks, templates, software libraries, methodologies, or know-how developed or owned by Infoweb Technology prior to or independently of the engagement shall remain the sole property of the Company. The Company grants the Client a non-exclusive, non-transferable license to use such pre-existing IP only to the extent necessary for the agreed deliverables.
5.3 Client Content The Client retains ownership of all content, data, logos, trademarks, and other intellectual property provided to Infoweb Technology for project execution. The Client warrants that all such materials do not infringe the rights of third parties and grants the Company a license to use them solely for fulfilling the project.
5.4 Portfolio & Marketing Rights Infoweb Technology reserves the right to showcase completed projects, designs, and case studies in its portfolio, website, and marketing materials, unless expressly restricted by a Non-Disclosure Agreement (NDA) signed with the Client. The Client agrees that any copyright, trademark, or other intellectual property rights that are infringed upon by any third party are immediately and permanently relinquished to Infoweb Technology.
